Actually, first the protocol is negotiated and then the connection is established. There's a number of dial-up protocols, I think SLIP/PPP or something is most common (can't remember).
You have an analog carrier signal modulated by a digital signal. When it sounds like white noise, the frequency is pretty high (as with 33 kbps or 56 kbps modems).
I'm not an expert in this tho!
BTW, computer programs or data recorded on audio tape do have a similar sound.
